The audit rights clause is your only contractual tool to verify CAM charges, and leases without one leave tenants exposed to undetectable overcharges that can total thousands annually.

What Is a Audit Rights Clause?

An audit rights clause grants the tenant the contractual right to inspect and verify the landlord's books, records, and supporting documentation for operating expenses and CAM charges. Without this clause, tenants have no legal mechanism to challenge overcharges. It typically specifies the timeframe for audits, who bears the cost, and what records the landlord must provide.

Why This Clause Matters for CAM Audits

This is the single most important clause for CAM audit enforcement. If your lease lacks an audit rights clause, the landlord has no obligation to share backup documentation, making it nearly impossible to identify or recover overcharges. A well-drafted audit clause is the foundation for every other CAM protection in the lease.

Sample Lease Language

“Tenant shall have the right, at Tenant's expense, to audit Landlord's books and records relating to Operating Expenses for any Lease Year within one hundred twenty (120) days after receipt of the annual reconciliation statement. Such audit shall be conducted during normal business hours at the location where Landlord maintains such records. Landlord shall retain all records supporting Operating Expense calculations for a minimum of three (3) years following each Lease Year. If the audit reveals that Tenant was overcharged by more than five percent (5%), Landlord shall reimburse Tenant for the reasonable cost of the audit.”
